These Terms govern your use of clockit.space (the “Service”), operated by Ashok Baniaas an individual (“clockit”, “we”). By creating a clockit account or otherwise using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.

1. What clockit is

clockit is a social platform for tastemakers. Today, clockit is focused on music: users post “drops” (a track plus the curator’s commentary), follow each other, and discover music through human curation. Over time, we expect clockit to expand to other forms of entertainment such as film, television, and live shows. These Terms will continue to govern your use of the service as it evolves, with updates as needed. clockit integrates with third-party services such as Spotify and Google.

2. Eligibility

You must be at least 13 years old (or, if you are located in the EU, EEA, or UK, at or above the age of digital consent in your country) to use clockit. You are responsible for ensuring that your use of clockit complies with the laws of your jurisdiction.

3. Your account

  • You are responsible for keeping your credentials secure and for all activity that occurs under your account.
  • If you suspect unauthorized access, email privacy@clockit.space as soon as possible.
  • One account per person. Don’t impersonate others. Don’t share an account with someone else as a way to circumvent these Terms.

4. Your content

You retain ownership of the content you post on clockit (your commentary, your profile information, the choices you make in which tracks to drop). By posting content on clockit, you grant clockit a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute that content for the purpose of operating the Service.

You represent and warrant that:

  • You have the right to post the content you submit to clockit.
  • Your content does not violate the intellectual property, privacy, publicity, or other rights of any third party.
  • Your content complies with these Terms.

Track metadata (titles, artist names, album artwork) is provided by third-party services such as Spotify; we do not claim ownership of it.

5. Acceptable use

Don’t do any of these on clockit:

  • Harass, threaten, intimidate, or stalk other users.
  • Post hate speech, sexually explicit content, content depicting violence, or anything illegal.
  • Spam, scam, or operate automated accounts without explicit disclosure.
  • Attempt to break, hack, scrape, reverse-engineer, or otherwise exploit clockit’s infrastructure.
  • Impersonate anyone, including impersonating clockit or its operator.
  • Post content that infringes the copyrights, trademarks, or other intellectual property of others.
  • Use clockit for any purpose that violates applicable law.

We may remove content, restrict features, or suspend or terminate accounts that violate these rules.

6. Third-party services

clockit integrates with Spotify (for music data and library actions) and Google (for sign-in). clockit is independent of, and not affiliated with, Spotify or Google. Your use of those services is governed by their own terms and privacy policies. clockit is not responsible for the availability, accuracy, or content of third-party services we integrate with.

7. Termination

By you: you can request to delete your account at any time. Until our self-serve deletion flow ships, email privacy@clockit.space from the address on your account and we will process it within 30 days.

By us: we may suspend or terminate your account if you violate these Terms or applicable law, or if we reasonably believe doing so is necessary to protect clockit, our users, or third parties. We will attempt to provide notice where feasible.

8. Disclaimers

clockit is provided “as is” and “as available,” without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that clockit will be uninterrupted, error-free, or secure.

9. Limitation of liability

To the maximum extent permitted by law, clockit and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, whether incurred directly or indirectly.

Our total aggregate liability for any claim arising out of or relating to these Terms or clockit will not exceed the greater of USD $50 or the amounts you have paid us in the prior 12 months. clockit is currently free to use, so the floor is $50.

10. Indemnification

You agree to indemnify, defend, and hold clockit and its operator harmless from any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of clockit, your content, or your violation of these Terms or applicable law.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we’ll post the revised version here and update the “Last updated” date. For material changes, we will attempt to notify you in-app when feasible. Your continued use of clockit after we publish revised Terms constitutes acceptance of those revisions.

12. Governing law and venue

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.
